SUNRIVER MEN'S GOLF CLUB
CONSTITUTION
October 13, 2004



Article I. NAME AND PURPOSE:
This non-profit organization shall be known as the Sunriver Men's Golf Club (SRMGC). Its purpose is to encourage the active participation in golf and good fellowship among golfers in the club and to organize, promote and direct tournaments and other competitive golf matches at Sunriver courses and other golf courses as may be selected by the Board.

Article II. MEMBERSHIP MEETING:
The Membership meeting shall be held annually during October, at the call of the President, to elect its Officers for the ensuing year and to consider other such matters as may be presented at that time.

Article III. OFFICERS:
Officers shall be 1) President, 2) Vice President, 3) Secretary and 4) Treasurer. The Officers are elected by the members at the annual meeting. The President and Vice President may serve no more than two consecutive one year terms. No person shall be eligible for election to the position of President unless such person has served on the Board at some time.

Article IV: BOARD OF DIRECTORS:
The Board of Directors (hereinafter called the "Board"), shall be composed of the elected Officers and not less than three (3) Directors. Board positions, except for the President and Vice President, shall be a three year term. The three Directors are appointed by the Board. Board members shall serve from November 1 to October 31. Should a vacancy occur among the Directors or among the Officers other than the President, the Board is empowered to appoint a replacement for the unexpired portion of the former Officer's or Director's term. Four (4) members constitute a quorum.

Article V: MEMBERSHIP QUALIFICATIONS:
a. Membership in the SRMGC is open to Sunriver/Bend area residents, Sunriver Resort employees, Sunriver Owners Association employees, Sunriver Service district employees and prior SRMGC members.
b. To be eligible to play in SRMGC's weekly competitions, members must carry an established USGA Home Course Handicap (HCH) at the Woodlands golf course of 36 or less. However, prior year members whose HCH becomes greater than 36, with the approval of the Board, may compete using their full handicaps. New members without an established USGA handicap, or whose handicap exceeds 36, may play in weekly events, but will not compete for cash prizes until their handicaps are established or reestablished at 36 or less.
c. Memberships are for a single season and can be renewed annually upon completion of a registration form and payment of annual dues.
d. Members of the SRMGC are automatically registered with the Oregon Golf Association (OGA) and are tied into the Golf Handicap Information Network (GHIN) for handicapping purposes.
e. Prospective (new) members must submit a registration form to the Board for membership approval.
f. Members may be removed from membership at the discretion of the Board for violations of the USGA and SRMGC rules, as established by USGA and the Board, from time to time, regarding play and attendance at competitions or deportment deemed contrary to the interests of the sport of golf and the SRMGC.

Article VI. DUES AND ASSESSMENTS:
a. Dues shall be fixed by the Board annually in an amount sufficient to cover OGA dues, incidental costs , plus a "Hole-In-One" fee to be used as an award at SRMGC competitions.
b. Special assessments may be levied when necessary and as determined by the Board.

Article VII. COMPETITIONS AND OTHER ACTIVITIES
a. Golf competitions are scheduled weekly at Sunriver and other participating courses selected by the Board.
b. SRMGC competitions will be financed by collection of an entry fee to cover prizes, the amount of which shall be determined by the Board. Funds so collected may be expended at the time of each competition or in such other manner as may be determined by the Board. Funds in excess of actual competition costs shall be placed in the Treasury for future activities.
c. Members without an established USGA Handicap Index may participate in the play days but will not take part in the competitions. A minimum of five posted rounds are required to establish a Trend Handicap. Members with a trend only handicap may participate in club competitions.
d. Invited guests may play in competitions without payment of the weekly prize money fee. Guests are ineligible to compete for regular membership prizes. Team members of the guest will be given a blind draw in order to compete for the prize money.
e. If a member elects to withdraw from "team-play" competition at anytime during a round of a regularly scheduled SRMGC competition for any reason other than illness, injury, or family emergency, his entry fee shall be forfeited and he shall be barred from playing in the next four (4) scheduled SRMGC competitions. The team of a player who withdraws will automatically be disqualified and their entry fees for the competition will be refunded. If the remaining team members choose to complete the round, their adjusted scores will be posted by the Handicap committee. In the event a player must withdraw from competition because of a bona fide illness, injury, or family emergency, then a blind draw score will be substituted for the uncompleted holes of the player withdrawing and the team will remain in competition for prize money.

Article VIII. AMENDMENTS:
This Constitution and the following By-Laws may be amended by the Members at the annual meeting or, in emergency, by the Board, subject to subsequent membership approval.

Article IX. RESCISSION:
When ratified by the membership, this Constitution and By-Laws rescinds and supersedes that ratified October 2, 1986 and as amended September 30, 1988 and September 28, 1989.

BY-LAWS
DUTIES AND RESPONSIBILITIES
October 13, 2004

OFFICERS
1. The President will:
a. Prepare and distribute an agenda for, and preside at, all Board and Membership meetings and conduct them in accordance with the SRMGC Constitution and principles of parliamentary law.
b. Appoint members of all committees and serve as an ex-officio member in each.
c. Be aware of and look after the general welfare of the SRMGC.
d. Upon approval of the seasonal competition schedule by the SRMGC board, coordinate schedule with the Sunriver Director of Golf or his/her representative to confirm and set the schedule for the coming season.
e. Appoint a representative to the Oregon Golf Association (OGA).
f. Act as the primary liaison with Sunriver Resort.

2. The Vice President will:
a. Perform the duties of the President in his absence.
b. Succeed to the office of the President upon the incapacity or resignation of the President.
c. Perform other duties as assigned by the President.
d. Coordinate with representatives of the visitation golf clubs the Spring Fling and Fall Fling competitions, and other special golf events, as appropriate.
e. Actively pursue the solicitation and/or purchase of golf equipment or gift certificate awards to be given as door prizes or raffled to SRMGC members at the annual season ending banquet and membership meeting.

3. The Secretary will:
a. Maintain all records of the SRMGC excluding those falling within the purview of the Treasurer and Handicap Director.
b. Prepare minutes of each Board and Membership meeting and present them as an order of business during the following Board meeting.
c. Prepare such correspondence as the President may require.
d. Upon call of the President, notify each Board member of the time and place of meetings.
e. Act as the President-Pro-Tem in the absence of the President and Vice President.
f. Submit a monthly column to the Sunriver Scene during the golf season announcing upcoming events and reporting recent, relevant results.

4. The Treasurer will:
a. Be the recipient of all moneys paid to or due the SRMGC, be responsible for their safekeeping and disbursement as the Board may direct.
b. Provide periodic written financial reports showing money received, dispersed and balances of accounts held in financial institutions.
c. Present a season end financial report to the membership at the Annual meeting.

DIRECTORS
1. The Competition Director will:
a. Prepare and submit to the Board, prior to the start of the golf season, a proposed competition schedule including dates, tee times, type and place of play.
b. Post competition sign-up sheets on the Woodlands Bulletin Board one week before each event.
c. From the sign-up sheets, prepare and post pairings and tee times on the Woodlands Bulletin Board, local cable TV Channel 4, and the SRMGC web site address www.srmensgolf.com by Monday prior to the Wednesday competition.
d. Prepare scorecards for each competition day of play including each member's name, handicap, and stroke holes, as appropriate, and include the rules for the week's competition.

2. The Handicap Director will:
a. Register club members and maintain the member data base.
b. Manage and maintain the Sunriver Golf Computer Network (in conjunction with the Sunriver Women's Golf Associations and the Sunriver Resort IT office).
c. Provide oversight of member USGA Handicap Indices and Course Handicaps through the Golf Handicap Information System (GHIN). From time to time, review member scores to ensure consistency with their index and take appropriate action to adjust a member's index per OGA and USGA regulations and guidelines.
d. Print and post the current alphabetical listing of club members, their USGA index and Home Course Handicaps with each handicap revision throughout the active season.
e. Post all individual club member's SRMGC competition scores into the GHIN System.
f. Advise and assist members on all matters pertaining to the establishment and maintenance of a USGA Handicap Index.
g. Coordinate with the OGA Handicap Director on all matters pertaining to the handicapping system.
h. Validate the number of active members with the Treasurer prior to the payment of registration fees to OGA.
i. Review USGA golf score reporting requirements and recommend score reporting requirements to the Board for action to ensure consistency with USGA requirements.
j. Establish and maintain a handicap committee to assist the Handicap Director in the completion of his responsibilities.

3. The Prize Director will:
a. At the conclusion of each competition, determine the winners and their winnings. Select "blind draw" for missing golfers. Verify accuracy of the scores of the winners and adjust, as appropriate.
b. Communicate results to the Bend Bulletin Sports Department, as required.
c. Ensure posting of results on the Woodlands Bulletin Board and the SRMGC web site by the first day following the event. Send a copy of the results to the President , Vice President, Secretary and the Treasurer. Return scorecards to the Handicap Director.

BOARD OF DIRECTORS
The Board will:
a. Hold regular and special meetings at places and times fixed by the President.
b. Establish a schedule for competitions and special events and perform all management functions for SRMGC other than those reserved to the members or delegated to specific Officers or Directors by the Constitution or these By-Laws.
c. Establish from time to time, reasonable rules and regulations regarding play and attendance at competitions and deportment of members and establish penalties for violation of such rules and regulations, including termination of membership for serious or repeated violations.
d. Appoint Directors, as needed.

COMMITTEES:
Standing and certain ad-hoc committees may be established form time to time by the Board with members to be appointed by the President for such terms as are fixed by the Board. The following ad-hoc committee will exist on a recurring basis:
a. A Nominating Committee will be appointed to facilitate the annual election of Officers. Nominees for Officers will be presented at the Annual Meeting for approval by the membership. Further nominations from the floor will be accepted at that time. Voting shall be by ballot or voice as directed by the President. A majority of the votes cast by members who attend the annual meeting shall control.
